Terms and Conditions

This is a flavour of our contractual Terms and Conditions taken from our Website Design Agreement. The information given below does not form part of an agreement between Greg Grant and any third party. It is given for information only.

The Basics

Greg Grant will:

(a) design and deliver the Website according to the agreed schedule;
(b) incorporate your material and Third Party Works into the Website;
(c) keep you informed of the progress of the Website's development; and
(d) provide you with reasonable access to the Website during the Term;

Delivery

Greg Grant will use all reasonable endeavours to deliver the Website to you for acceptance testing on or before the Delivery Date. The delivery date will be by mutual agreement.

Acceptance Period

There will be a 10 day acceptance period. This allows you to carry out acceptance tests to determine:

(a) whether the Website conforms in all material respects with the specification of the Website in the Schedule; and

(b) whether the Website has any Defects;

If the Website does not meet the Acceptance Criteria:

(a) send Greg Grant a written notice during the Acceptance Period setting out in detail the respect(s) in which the Website does not meet the Acceptance Criteria; and

(b) Greg Grant will have a further remedial period (of 20 Business Days) to modify the Website so that it meets the Acceptance Criteria.

Guarantee

The Website will continue to operate without any Defects for a period of 3 months from the date of acceptance of the Website (and if the Website does not so operate, Greg Grant will, for no additional charge, carry out any work necessary in order to ensure that the Website operates without any Defects during this period).

Intellectual Property Rights

All copyright and other Intellectual Property Rights in the Website (excluding your material, Third Party Works and GPL code*) are the property of Greg Grant. Subject to full payment of the invoice, Greg Grant grants you a non-exclusive worldwide licence of those Intellectual Property Rights for the purposes of:

(a) publishing and operating the Website;
(b) backing-up the Website; and
(c) updating and adapting the Website;

*GPL Licence - We use software which contains General Public Licence conditions. Basically this means that you, as the customer, enjoy the same licencing rights as Greg Grant.

Charges and Payment

A deposit of 20% of the total cost is required before any major design and/or building work commences.

An invoice for the balance will be sent on acceptance of the website and must be paid within 30 days. Payment is by Bank Transfer or Cheque.
